General Terms and Conditions

Definitions

For the purposes of these General Terms & Conditions, the following terms shall have the meanings set out below:

Services

Guide2Grow provides professional services that support transformation at the individual, team and organisational level, including but not limited to:

• Organizational Guidance & Transformation Support

·        Team Facilitation & Collective Development

·        Executive, leadership and entrepreneurial coaching & development

·        Team and organisational assessments and diagnostics

·        Strategy & change workshops, capacity building

·        Facilitation of events and organisational dialogues

·        Keynotes and speaking engagements

Services may be delivered in person, online or in a hybrid format.

Client

The person, organisation or legal entity entering into an agreement with Guide2Grow as identified in the Proposal or Agreement.

Agreement

The contractual relationship between Guide2Grow and the Client, consisting of these General Terms & Conditions, the Proposal, and any written amendments agreed between the Parties.

Proposal

The written commercial offer describing the scope of work, objectives, deliverables, timing and fees associated with the Services.

Participants

Individuals designated by the Client to participate in the Services delivered by Guide2Grow.

Purpose

The purpose of the Agreement is to define the conditions under which Guide2Grow provides its Services to support individual, team and organisational development, and to establish the corresponding financial arrangements between the Parties.

Guide2Grow supports organisations in navigating transformation by working with the organisation as a living system, where leadership, culture, collaboration and performance are interconnected.. Our work aims to strengthen both individual growth and collective effectiveness in service of sustainable organisational development.

Proposal and Agreement Process

Following an exploration of the Client's needs and objectives, Guide2Grow will prepare a Proposal.

Unless stated otherwise, a Proposal remains valid for thirty (30) calendar days from the date of issue.

The Agreement becomes effective upon written acceptance of the Proposal by the Client, whether through signature, electronic approval or other mutually agreed confirmation.

Duration

The Agreement is entered into for the duration specified in the Proposal.

It commences upon acceptance of the Proposal and terminates automatically upon completion of the agreed Services, unless otherwise specified in writing.

Fees and Payment Terms

The fees applicable to the Services are detailed in the Proposal.

Unless otherwise agreed:

• Invoices are issued electronically.

• Payment is due within thirty (30) days of the invoice date.

• Fees are exclusive of VAT and any other applicable taxes.

• Payments may be invoiced in instalments as specified in the Proposal.

• Travel, accommodation and related expenses incurred in the delivery of the Services may be invoiced separately unless explicitly included in the Proposal.

Delivery of Services

The dates, locations and format of the Services are described in the Proposal.

Both Parties commit to collaborating in good faith to ensure effective delivery of the Services.

Given the developmental nature of the work, the Client acknowledges that meaningful outcomes depend on the engagement, commitment and participation of the individuals and teams involved.

Guide2Grow operates under an obligation of means and professional diligence, not an obligation of guaranteed results.

Cancellation and Rescheduling

Individual Coaching and Team Coaching

Sessions may be rescheduled without charge when notice is provided at least forty-eight (48) hours before the scheduled start time.

Sessions cancelled or rescheduled less than forty-eight (48) hours in advance may be invoiced in full.

Guide2Grow commits to applying the same notice period whenever possible.

Workshops, Programmes and Organisational Interventions

Unless otherwise specified in the Proposal:

• Cancellation less than 30 calendar days before delivery: 50% of the agreed fee remains payable.

• Cancellation less than 15 calendar days before delivery: 75% of the agreed fee remains payable.

• Cancellation less than 7 calendar days before delivery: 100% of the agreed fee remains payable.

Confidentiality

The Parties commit to maintaining strict confidentiality regarding all information exchanged within the context of the Agreement.

Confidential Information includes, but is not limited to:

• Information relating to the Client's business, operations or strategy;

• Information shared during coaching, workshops or development activities;

• Personal information relating to Participants;

• The content of the Agreement and associated documentation.

Particular attention is given to preserving psychological safety and trust .

Information will only be disclosed where legally required or with the explicit consent of the concerned parties.

Data Protection (GDPR)

Guide2Grow processes personal data solely for the purpose of organising and delivering the agreed Services.

All personal data is handled in accordance with applicable Belgian and European data protection legislation, including the General Data Protection Regulation (GDPR).

Guide2Grow may engage qualified associates, facilitators, coaches or consultants to support delivery of the Services. Such partners are required to adhere to confidentiality and data protection obligations equivalent to those of Guide2Grow.

Participants retain the right to access, rectify or request deletion of their personal data in accordance with applicable legislation.

Intellectual Property

All methodologies, frameworks, tools, learning materials, models, assessments and other intellectual property developed or provided by Guide2Grow remain the exclusive property of Guide2Grow unless otherwise agreed in writing.

The Client and Participants may use materials provided during the Services for their internal development purposes but may not reproduce, distribute or commercialise them without prior written consent.

Communication and References

Unless otherwise agreed in writing, Guide2Grow may refer to the Client as a professional reference and may describe the nature of the collaboration in a general manner in its communication materials, website, presentations and social media.

Any use of the Client's logo, visual identity or confidential information requires prior approval from the Client.

Limitation of Liability

Guide2Grow shall only be liable for direct damages resulting from proven negligence in the execution of the Services.

Guide2Grow shall not be liable for indirect damages, including but not limited to loss of profits, loss of business opportunities, reputational damage or consequential losses.

The total liability of Guide2Grow shall in any event be limited to the fees paid by the Client for the Services giving rise to the claim.

Dispute Resolution and Applicable Law

The Parties commit to seeking constructive dialogue and an amicable resolution in the event of any disagreement.

If no resolution can be reached, the Parties agree to engage an independent mediator before initiating legal proceedings.

This Agreement shall be governed exclusively by Belgian law.

Any dispute that cannot be resolved amicably or through mediation shall fall under the exclusive jurisdiction of the competent courts of Brussels, Belgium.
